Customer Insight Online Research Sessions Non-Disclosure Agreement

Thank you for volunteering to participate in the Customer Insight Online Research Sessions conducted on behalf of the Graduate Management Admission Council® (GMAC®). Prior to your participation, you must agree and adhere to the following terms and conditions contained in this Focus Group Participant Agreement (the “Agreement”). If you do not agree with these terms, please exit the Online Research Session location immediately.

The purpose of this Agreement is to define what is expected of you during these online sessions, what personal or other data we may gather from you and the other participants, what we will do with this data after we receive it, and what compensation you will receive for participating. As a participant, you will learn about, have the opportunity to try, and give feedback on one or more potential new products or services. There is no guaranty or assurance that any of these products or services will ever be released in either their current or any modified form, either individually, or as part of another GMAC product or service.

1. CONFIDENTIAL INFORMATION

Confidential Information is information that is not public. This will include information related to any future, proposed, or unannounced products, intellectual property of GMAC and its suppliers, source code and know-how, software specifications, techniques, ideas, processes, trade secrets, innovations, improvements, test results, the “look and feel” of any product or service including screen images, business plans, pricing, strategies, other marketing and sales information, and any other information discussed during this session that is not generally known or released by GMAC to the general public.

Confidential Information gathered during these sessions is not to be discussed with any person or entity outside of this session without the prior express written authorization of GMAC. All notes, comments, documentation, or other records in any way incorporating or reflecting any of the Confidential Information shall belong exclusively to, and is proprietary of GMAC. You should not make any statement or disclosure of information to a third party that might enable them to personally identify any individual who participated in this Focus Group.

2. PERSONALLY IDENTIFIABLE INFORMATION

Any information you disclose, that by itself, or in combination with other data or information that GMAC might have, is considered Personally or Individually Identifiable Information, (“PII”). GMAC will not disclose or release your PII from this Focus Group to anyone other than you, unless as required by law, to comply with requirements in a judicial or other governmental proceeding (for example, a court order, warrant or subpoena), or in instances where we determine that it is necessary in order to detect or prevent fraud or other unlawful activity.

3. NON-PERSONALLY IDENTIFIABLE DATA

During the course of these Customer Insight Online Research Sessions, we may take notes, copy, record, or otherwise gather information about opinions pertaining to the development of soft skill assessments pertaining to graduate management education. This information will only be used internally by GMAC to improve our products or services, and any public disclosure by GMAC will not contain information that could be used to identify any particular individual. Information that may be presented to the public from these online research sessions will not be identifiable and will only be reported in an aggregate form.

4. ELIGIBILITY

For eligibility to participate in the full Online Research Sessions, you will need to complete one preliminary session, titled Competency Labeling. The results of this session will determine whether you are eligible to continue. Everyone who completes the Competency Labeling session during the time allowed will be entered into a drawing to receive one of ten (10) US$100 American Express® gift checks. To be eligible to participate in the remaining online sessions for this group, you must (i) have received an invitation and agreed to participate, (ii) be above the age of majority in the jurisdiction in which you reside at the time of your entry online, and (iii) have completed the Competency Labeling session. Employees, officers, and directors of the Graduate Management Admission Council® (GMAC®),its advertising or promotional agencies, and their immediate families and those living in their households, are not eligible to participate in the online sessions.  All federal, state and local laws and regulations apply. 

5. TERM

The online research sessions begin at 12:01 a.m. eastern standard time (EST) on Monday January 23, 2012 and ends at 11:59 p.m. EST on Monday, April 16, 2012 (“Term”). You must complete all of the assigned tasks by this date to be eligible for payment.

6. ENTRY, PARTICIPATION, AND COMPENSATION

To apply to participate, click on the link in the invitation and provide your email address and phone number and any other vital contact information that is requested. Application is no guarantee of participation or compensation. You will first need to complete the Competency Labeling online session. If you are accepted, you will be notified via email and will have the opportunity to complete up to six tasks. You must complete the task during the Term outlined for the task and will be compensated US$25 for each task completed on time, up to US$150. You may only participate and complete each task one time. Compensation will only be awarded for tasks that have been completed before the end of the Term.

All decisions on all matters pertaining to the compensation received for the online sessions are final.  You are responsible for any and all taxes, delivery fees, and/or costs related to the processing, maintenance, set up or receipt of the funds.

7. LIMITATION OF LIABILITY

Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the online sessions.

By participating, you release the Sponsor, its affiliates, parent, and subsidiary companies, its employees, agents and officers, advertising and promotion agencies, as well as all others associated with the development and execution of these online research sessions, from and against any and all liability with respect to or in any way arising from the sessions and the delivery of the compensation.  Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to the online sessions.

Participants also agree (a) to be bound by this Agreement; and (b) that the decisions of Sponsor are final on all matters relating to the sessions.

8. LAWS

These Customer Insight Online Research Sessions are governed by the laws of the Commonwealth of Virginia, USA, without regard to the conflicts of law provisions.
